Freight Logic Inc., dba Talk Freight (“Talk Freight,” “we,” “us,” or “our”) provides access to the Talk Freight website and our Talk Freight Transportation Management System (“TMS”), collectively referred to as the “Service.” By accessing or using the Service, you agree to these Terms & Conditions. If you do not agree, you must stop using the Service. Talk Freight operates solely as a licensed freight broker under FMCSA authority and does not function as a motor carrier, take possession of freight, or provide transportation services. All transportation arranged through our Service is performed by independent motor carriers who maintain their own authority, insurance, and regulatory compliance. The TMS is a digital tool designed to help users quote, schedule, manage, and review shipments, and does not alter the legal broker–carrier relationship.
To use the Service, you must maintain an active account with accurate and current information. You are responsible for safeguarding your login credentials and for all activities that occur under your account. If you believe your credentials have been compromised, you must notify us promptly. When creating a shipment, you agree to provide accurate information regarding weight, dimensions, freight class, packaging, commodity description, addresses, and any special handling needs. Incorrect or incomplete information may result in carrier adjustments, fees, delays, reweighs, reclasses, or billing corrections. You acknowledge that Talk Freight relies on the information you submit and that carriers may conduct their own inspections and invoke their tariffs accordingly.
Talk Freight arranges transportation but does not control or operate the motor carriers that provide the actual freight movement. Carriers are responsible for the safe transport of freight, regulatory compliance, equipment condition, and on-time performance. We do not guarantee pickup or delivery schedules, transit times, service levels, or tracking visibility. Tracking information displayed in the TMS is provided directly by the carrier and is for reference only.
Rates generated by the Service are based on your submitted shipment details. Final charges may differ if the carrier determines that the shipment characteristics vary from those originally submitted. Carriers may apply additional fees such as reweighs, reclassifications, inspections, detention, redelivery, or special handling. By booking a shipment through Talk Freight, you agree to pay all transportation charges, including carrier adjustments applied after delivery. All invoices must be paid in accordance with established payment terms, and the filing of a cargo claim does not suspend or reduce the obligation to pay those charges.
The Bill of Lading (“BOL”) is the legal contract between the shipper and the motor carrier. You are responsible for ensuring that the BOL is complete, accurate, and consistent with the shipment entered into the TMS. If a BOL mistakenly labels Talk Freight as the carrier, such wording has no legal effect and does not modify our status as a broker.
Talk Freight does not assume cargo liability. Under federal law, the motor carrier is liable for loss, damage, or delay. Claims must be filed directly with the carrier pursuant to the carrier’s tariff rules and filing deadlines. While Talk Freight may assist in communication, we do not control or participate in claim adjudication. The existence of a claim does not relieve you of paying transportation charges.
The TMS may include tools that estimate classes, prepopulate fields, or provide other automated outputs based on user-entered information. These tools are informational only and may not always be precise. You agree to verify all shipment details before booking transportation.
Your use of the Service is also governed by our Privacy Policy, which explains how Talk Freight collects, uses, and protects your information. By using the TMS and website, you consent to the data practices described in that policy, including our sharing of information with carriers, service providers, payment processors, analytics tools, and regulatory agencies when necessary for operational, compliance, or security purposes. You are responsible for maintaining secure access to your account and using industry-standard precautions when handling your own information.
To the fullest extent permitted by law, Talk Freight’s liability for any claim arising from your use of the Service is limited to the broker margin earned on the shipment or one hundred dollars ($100), whichever is greater. Talk Freight is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, service interruptions, inaccurate data, or delays caused by carriers or incorrect user-submitted information. The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.
We may suspend or terminate your access to the TMS for misuse, nonpayment, violation of these Terms, submission of false shipment data, or where otherwise required by law. Termination does not release you from outstanding financial obligations. These Terms are governed by the laws of the State of Kansas, and any dispute must be resolved exclusively in the state or federal courts located in Johnson County, Kansas.
Talk Freight may update these Terms & Conditions from time to time. Updates become effective upon posting, and continued use of the Service constitutes acceptance of the revised Terms.
